Conditions of Sale
1. ORDERS
Orders are accepted only on the basis that our standard conditions
of sale apply, including the following reservations of title conditions:
(a) Ownership of goods sold by us to you shall only pass to you
when those goods have been paid in full, although all goods are
at your risk as soon as they are delivered to you or to your order.
If goods are sold by you to a third party before they have been
paid for, you will hold the proceeds of sale on such goods on trust
for us.
(b) Without prejudice to (a) above we can pass title to you at any
time before the goods are paid for by notice in writing to that
effect."
(c) All orders will be subject to a minimum order charge of £10.00
(nett).
(d) Customers may be liable to pay carriage/delivery charges for
urgently required goods.
A full set of conditions will be supplied on application and are
permanently on display in our depots.
2. STANDARD TOOLS
All tools included in this list are classed as standard. Taps are
supplied to the general dimensions given in British Standard 949
1976 and British Standard 1979.
Nut taps included in this list are classed as standard and are supplied
to the general dimensions given in British Standard 949 1951/1954.
3. PRICES
All prices are listed in decimal £ per tool.
4.TIME FOR PAYMENT AND CURRENCY
(a) Payment for goods supplied is due not later than the latest
day of the month following the month of sale, or in accordance with
other terms notified to the buyer in writing by the Company and
shall be without deductions. In default of payment on the due date
under the terms hereof or as may be otherwise specified by the Company,
the Company without prejudice to its rights hereunder may charge
the buyer interest on overdue accounts at the rate of 2.5% per
calendar month part thereof to cover additional administrative costs.
(b) The Company shall at its discretion (without prejudice to the
Company's rights to treat the Contract as repudiated and claim damages)
be entitled to withhold despatch of goods and suspend performance
of any of its obligations to the buyer until all moneys owing to
it by the buyer shall be paid in full.
(c) Where the purchaser does not accept delivery of goods ordered
the goods will be invoiced and such invoice will be due for settlement
in the same way as other invoices.
5. RETENTION OF TITLE
Until payment in full has been received by the Company for all goods
whatsoever supplied at any time by the Company to the buyer:
(a) Property in goods shall remain in the Company and the buyer
shall hold the goods as bailee on behalf of the Company.
(b) The buyer shall subject (c) and (d) below store the goods separately
from other goods in possession of the buyer.
(c) The buyer shall be at liberty to sell the goods in the ordinary
course of business on the basis that all proceeds of sale of such
goods are the property of the Company for which the buyer shall
account on demand.
(d) Notwithstanding that property in the goods has not yet passed
the buyer may incorporate the goods in or together with any product
manufactured or assembled by the buyer in the ordinary course of
its business. If the buyer sells any such product before property
in the incorporated goods has passed it shall do so as agent for
the Company but the buyer's liability to account as agent or the
proceeds of such sale shall be limited to the invoice value of the
goods so incorporated. If, before property in the goods passes any
of the goods are incorporated in or together with any product manufactured
or assembled by the buyer, it shall maintain records sufficient
to enable such products to be identified and for the goods so incorporated
to be identified measured or otherwise quantified.
(e) The powers of the buyer referred to in (c) and (d) above shall
be determined
(i) by written notice to the buyer if any payment for any goods
whatsoever remains unpaid 14 days after becoming due to the Company;
or
(ii) automatically if a receiver is appointed over any assets or
undertaking of the buyer or a winding-up order is made against the
buyer or the buyer goes into voluntary liquidation or calls a meeting
or makes any composition or arrangement with its creditors or commits
any act of bankruptcy.
(f) Upon determination of the powers of the buyer referred to in
(c) and (d) above the buyer shall place the goods at the disposal
of the Company and the Company shall be entitled to enter upon the
premises of the buyer and remove any goods including any goods which
may have been incorporated into other products or affixed to realty.
6. NON-STANDARD SIZES AND PITCHES
Sizes and pitches not listed are subject to special prices which
may be obtained on application.
7. TYPES NOT LISTED
Types of tools not listed are subject to special prices which may
be obtained on application.
8. LEFT HAND SCREWING TOOL.
(a) Ranges of left hand screwing taps and circular dies which are
standard are now shown as priced items in this list.
(b) Special prices which vary with the quantity ordered will apply
to all other left hand tools not included in this list.
9. SETS OF TAPS
Supplied in three's i.e. Taper, 2nd, bottom. All other packages
supplied in tens and fives up to 3/4 or 20mm, over these sizes packed
in singles
10. THREAD TOLREANCE AND OVERSIZE TAPS
Short machine taps of non-preferred thread series and unified thread
form will be supplied to Class 2 tolerances as given in British
Standard 949 1979 or any subsequent amendment thereto, at the appropriate
list price. Short machine taps of metric thread form will be supplied
to Class 2 tolerance as given in British Standard 949 1976 or any
subsequent amendment thereto, at the appropriate list price.
Fluteless taps will be supplied to the upper limit zone 4 tolerances
as given in British Standard 949.
Nut taps up to and including 1/2 diameter will be supplied to Z3
tolerances as given in British Standards 949 1969 or any subsequent
amendment thereto, at the appropriate price list.
Nut taps over 1/2 diameter will be supplied to Z4 tolerances as
given in British Standard 949 1969 or any subsequent amendment thereto,
at the appropriate list price.
Short machine taps ordered to class 1 tolerance as given in British
Standard 949 1979 or Class 1 tolerances given in British Standard
949 1976 or any subsequent amendment thereto, are subject to special
prices which may be obtained on application.
11. MARKING
Standard threads will be marked with the designation applicable
to the thread series.
12. TRADE TERMS
Trade terms are subject to alterations without notice. Details of
terms may be obtained on application to your local branch.
13. WARNING
High speed steel products present no health hazard unless ground,
welded, burned or cut. If the above procedures are carried out it
is possible that hazardous dust or fumes may be emitted. Wet grinding
is not necessarily safer than dry grinding. Use of local exhaust
ventilation is recommended for the above operations. Personal respiratory
protective equipment must be capable of adequately controlling exposure
and be suitable for the purpose. Hardened high speed steel is brittle
and may shatter if incorrectly used. Eye protection should be worn.
